Notice of meeting: Extraordinary meeting, 30 June 2026

The President of the Deliberative Council of Avaí Futebol Clube, in the exercise of his duties and pursuant to articles 39, I, and 86, III, of the Bylaws, together with the Vice-President of the Deliberative Council, hereby calls the members of the Deliberative Council to an Extraordinary Meeting, to be held on June 30, 2026, Tuesday, at 7:00 p.m., on first call, with the presence of a simple majority of council members entitled to vote and, on second call, at 7:30 p.m., with any number of council members, to be held in person at the club’s headquarters located at Av. Diomício Freitas, 1000, Carianos, Florianópolis/SC, Ressacada Stadium, to deliberate on the following agenda:

Reading and approval of the minutes of the previous meeting;
To deliberate on the incorporation of Avaí Futebol Clube’s football corporation (“SAF”), pursuant to article 46, “x,” of the Bylaws, and on the investment commitment agreement for the acquisition of 90% of the shares issued by the SAF under the terms of the proposal received by the Club, which will remain available for review during business hours at Ressacada until the date of the meeting, authorizing the Executive Board of Avaí Futebol Clube to carry out all acts necessary for the implementation and formalization of the matter resolved upon, including the completion of the transaction, execution of the transaction documents, and its implementation; and
General matters.Notes:* This meeting will be exclusively in person; no hybrid format or virtual broadcast will be adopted;* Pursuant to article 88, § 1, of the Bylaws, members current with their obligations will be allowed to participate exclusively in person in the meeting, without the right to speak and/or vote, provided that prior notice is given by the interested party by email to: , no later than 72 hours before the start of the meeting, so that the venue capacity limit for the meeting may be monitored.
