The Celtic Trust, the influential small shareholder group, has outlined its stance ahead of the AGM, confirming it plans to oppose 11 resolutions while supporting the remaining six.

They intend to vote against the reappointment of all board members, including Brian Rose, Brian Wilson, Chris McKay, Dermot Desmond, Michael Nicholson, Peter Lawwell, Sharon Brown, and Tom Allison.

The Celtic Trust will vote AGAINST:

  • Resolution 1 – To receive the Company’s annual accounts and the Auditors’ Report, the Strategic Report and the Directors’ Report for the year ended 30 June 2025
  • Resolution 2 – To reappoint Brian Rose, who retires annually, as a director of the Company
  • Resolution 3 – To reappoint Brian Wilson, who retires annually, as a director of the Company
  • Resolution 4 – To reappoint Christopher McKay, who retires annually, as a director of the Company
  • Resolution 5 – To reappoint Dermot Desmond, who retires annually, as a director of the Company
  • Resolution 6 – To reappoint Michael Nicholson, who retires annually, as a director of the Company
  • Resolution 7 – To reappoint Peter Lawwell, who retires annually, as a director of the Company
  • Resolution 8 – To reappoint Sharon Brown, who retires annually, as a director of the Company
  • Resolution 9 – To reappoint Tom Allison, who retires annually, as a director of the Company
  • Resolution 10 – To approve the Directors’ Remuneration Policy. This Resolution 10 is advisory only and is not binding
  • Resolution 11 – To receive the Directors’ Remuneration Report. This Resolution 11 is advisory only and is not binding

However, The Celtic Trust will vote FOR:

  1. Resolution 12 – To reappoint BDO LLP as auditors of the Company
  2. Resolution 13 – To authorise the directors to determine the remuneration of the auditors
  3. Resolution 14 – Authority to allot shares
  4. Resolution 15 – Disapplication of pre-emption rights
  5. Resolution 16 – Preparation and publication of detailed report and 3-5 year plan covering football, financial and strategic matters
  6. Resolution 17 – Board restructure

Last night, Sharon Brown was next up for Celtic Fans Collective in putting a spotlight on every board member ahead of the AGM on Friday. The Celtic Fans Collective stated:

“In December 2016, as Sharon Brown joined the Celtic board, the Club had seemingly turned a corner under Brendan Rodgers and many hoped this would lay the foundations for a team ready to take the next step in Europe.

“But nine years on, Celtic has stalled on and off the park. As Chair of the Audit & Risk Committee, her tenure has coincided with repeated European setbacks and a failure to modernise our financial and football strategy.

“She has previously served in senior audit and non-executive positions within businesses that went on to face serious governance and financial difficulties, experiences that arguably draw attention to the quality of oversight she provides.

“It is difficult to see how this reflects the modern and responsible leadership the Club requires. As she enters the period where no non-executive should still be considered independent, the conclusion is unavoidable.

“Sharon – your time at Celtic has expired.”
