CMVM outlines collapse of 16.38% Benfica SAD share sale

The CMVM has published fresh details on an attempted sale of a 16.38% stake in Benfica SAD held by shareholder José António dos Santos. According to Glorioso 1904, the club declined to accept the deal, allegedly because the buyer had interests in another sporting organisation.
The update records that Benfica SAD received a qualified holding notice from José António dos Santos and Grupo Valouro covering 3,767,400 category B shares, equal to the same proportion of capital and votes. It confirmed that the transfer was not carried out.
The operation had envisaged the sale of the holdings of José António dos Santos and Grupo Valouro.
The condition precedent of prior approval by Benfica SAD’s general meeting was not satisfied, with ENTREPRENEUR EQUITY PARTNERS SPV V, LLC named as the buyer.
As a result, and under the contract, there will be no transfer of the announced holdings and the shareholding structure remains unchanged in this process.
