Vasco has filed in court a letter from businessman Marcos Lamacchia stating that the judicial intervention in the club’s SAF is currently blocking completion of the purchase of 90% of the Nova SAF. According to Globo.com, the filing was made on Wednesday.

The letter, addressed to court-appointed intervenors Adriana Campos Conrado Zamponi and Alexandre Cordeiro Macedo, says the contracts were virtually final after more than two years of talks. Only the definitive documents needed signing and the competitive process under the Judicial Recovery Plan had to begin.

Lamacchia wrote that, at the moment of intervention, the parties had already agreed all material terms, with only final paperwork and signatures pending.

He says he will not argue the merits of the decision that removed Pedrinho, Christiano Borges Stockler Campos and Felipe Passos Elias from Vasco’s SAF management, but that the measure created sufficient legal uncertainty to halt the deal. He adds that the ruling interrupted the process in its final phase by sidelining those who had led negotiations, creating doubt over the company’s governance.

Even so, he remains interested in buying the SAF and says he is ready to sign immediately once the required conditions are restored.

He sets two conditions for proceeding, first, ending the judicial intervention and restoring the status quo ante of governance at Vasco’s SAF by reinstating board members Pedro Paulo de Oliveira, Christiano Borges Stockler Campos and Felipe Passos Elias. Second, correcting any irregularities identified by the competent authorities.

He also states that he has no disagreement with the negotiated terms and no intention to reopen them, saying the only factor preventing signature is the institutional instability caused by the intervention and the change in the governance structure.
