Vasco calls Deliberative Council to vote on Almirante deal and SAF statute changes | OneFootball

According to Globo.com, Vasco’s Deliberative Council has been called to an extraordinary session on six October 2026 to vote on Statute reforms and the terms of the Almirante Participações e Empreendimentos S.A. operation.

The meeting is set for 19:00 on first call and 19:30 on second. The notice, signed by council president João Riche, follows a request from the Administrative Board led by president Pedrinho.

The deal envisages Almirante Participações e Empreendimentos S.A., owned by Marcos Lamacchia and winner of the judicial auction to acquire the SAF, taking 90% of the total and voting capital of the new Sociedade Anônima do Futebol, the 'Nova SAF'.

For the transaction to proceed, internal rules must change. As article 135, item I, of the current Statute sets a minimum 20% CRVG stake in the SAF, the board proposes cutting the floor to 10% to align with the operation and current law.

The document keeps the club with Class A ordinary shares of at least 10% of the voting or total capital, preserving special rights in law. The session will be hybrid at the Sede Náutica da Lagoa, with electronic voting and a virtual room supervised by the Vice-Presidency of Technology and Innovation.

The Council of Beneméritos must deliver an advisory opinion within seven calendar days, to be shared with councillors before the vote. The Fiscal Council may comment, though this review is not an added statutory requirement. If approved, the proposal goes to the General Assembly.
