Lamacchia company says Crefisa guarantee does not affect Vasco sale amid Anresf review

Almirante Participações, the Lamacchia-backed bidder chosen to buy Vasco’s SAF, said Crefisa’s guarantee does not compromise the deal and that any Anresf restrictions would not derail it.
According to Globo.com, the regulator’s ongoing probe into the Lamacchia agreement was raised at Friday’s auction, where judge Simone Chevrand of the 4th Business Court asked if the Crefisa-backed guarantee posed a problem.
Company partner Mário Junqueira, representing Almirante, argued that previous fair play limits applied to talks between Vasco and Crefisa, while the guarantee links Crefisa to Almirante.
The sale still depends on approval from Vasco councillors and members. Despite Anresf’s review, figures involved on both sides have maintained that the agreement stands regardless of any fair play ruling.
Minutes of the session record Almirante’s view that a CBF decision binds Vasco, not Almirante, that the tender rules allowed a surety or bank guarantee, and that court approval would not be undone by later regulatory moves, though sporting decisions by the CBF would be observed.
Watchdog Athos Moura validated the auction, saying there were no material legal certainty issues. Gatekeeper José Eduardo Gussem reiterated that Crefisa’s role is with Almirante and recommended homologation.
The Public Ministry, represented by Gustavo Lunz, noted that the CBF decision is dynamic and could impose new requirements, while also supporting the sale.
