Santos and SDC Sports sign non-binding term sheet for potential SAF control deal

Santos said in a statement that it has signed a non-binding term sheet with SDC Sports for a possible acquisition of a controlling stake in Santos SAF.
The agreement follows five months of due diligence, begun after SDC Sports presented its proposal on 20 February. The review covered assets, liabilities and operations, with advisers including XP Investimentos, EXA Capital, Press FC and Bichara e Motta Advogados for the club, and Rothschild & Co., Alvarez & Marsal and BMA for SDC.
The proposal sets out investment across four priority areas, the academy, infrastructure, brand and the professional team. It includes a focus on the CT Rei Pelé and CT Meninos da Vila facilities, and respect for Vila Belmiro and the club’s identity.
With the term sheet signed, SDC Sports will now present the project to Santos’ Conselho Deliberativo. The document does not conclude negotiations.
Any eventual deal still depends on statute changes and internal approvals by the Conselho Deliberativo and the Assembleia Geral de Associados. It also requires completion of confirmatory due diligence and the signing of final documents.
President Marcelo Teixeira said the current board has examined a potential shift to SAF since day one, calling the term sheet an important step. He stressed the priority is to protect the club’s interests, history, members and supporters.
